Terms of Service

These Terms of Service ("Terms") govern your use of Quallaa's public facing AI service. By using our services, you agree to these Terms.
1. Service Description
Quallaa provides an AI agent that communicates with customers on behalf of your business. The service includes:
- AI-powered customer conversations over SMS, email, voice, booking pages, and web
- Appointment scheduling, follow-ups, and calendar management
- Missed call detection and response
- Contact profiles and conversation history
- Escalation to the business owner when needed
- A management portal for reviewing conversations, configuring AI behavior, and managing settings
- Dedicated business phone number
- Certification training before AI activation
2. SMS Messaging Consent
By using our service to send messages to your customers:
- You confirm you have obtained proper consent from recipients to receive SMS messages
- You agree to honor all opt-out requests immediately
- You will not use the service for spam, illegal, or deceptive purposes
- You are responsible for complying with TCPA, CTIA guidelines, and applicable laws
3. End Customer SMS Terms
For customers receiving SMS messages through our service:
- Opt-Out: Reply STOP to any message to unsubscribe
- Help: Reply HELP for assistance
- Message Frequency: Varies; typically 1-5 messages per interaction
- Carrier Charges: Message and data rates may apply
- No Sharing: Your mobile phone number and SMS opt-in data will not be shared, sold, or rented to third parties for marketing or promotional purposes. Text messaging opt-in data and consent will not be shared with any third parties except aggregators and providers of text messaging services (such as Twilio) as necessary to deliver messages

4. Connected Services
You may connect third-party accounts (such as Google Calendar and Gmail) to enable AI capabilities like scheduling and email. When you connect these services:
- You authorize the AI agent to act on your behalf within the scope of your configuration
- You can disconnect these services at any time from your portal settings
- You remain responsible for the content sent through connected accounts
- We access only the data necessary to provide the service and do not store credentials
5. Your Responsibilities
As a business using our service, you agree to:
- Complete required certification training before AI features are activated
- Provide accurate business and contact information
- Only communicate with customers who have a legitimate business relationship with you
- Not use the service for marketing to purchased lists or cold outreach
- Keep your business information current
- Review AI-generated conversations regularly to ensure quality
- Pay all fees on time
6. Prohibited Uses
You may not use our service to:
- Send unsolicited messages or spam
- Harass, threaten, or abuse any person
- Transmit illegal, fraudulent, or deceptive content
- Impersonate another business or person
- Violate any applicable laws or regulations
- Interfere with or disrupt our services
7. Pricing and Payment
Service pricing:
- Monthly Subscription: Flat monthly rate. All channels and capabilities included. No setup fees.
- 14-Day Free Trial: Full access during the trial period. Your card is not charged until the trial ends.
- Billing: Charged monthly via credit card on file. Cancel anytime from your portal.
- No Per-Message Fees: No per-message, per-call, or surprise charges.
8. Fair Use Policy
Quallaa is designed for real businesses handling real customer conversations. Each subscription includes a generous monthly conversation allowance. A "conversation" means a unique customer contact within a billing period — multiple messages with the same person count as one conversation. Most businesses use a fraction of their allowance.
If you approach your limit, we'll notify you. We will never cut off your AI mid-conversation with a customer. If you consistently exceed your allowance, we'll work with you to find the right arrangement.
Quallaa reserves the right to suspend accounts that abuse the service, including but not limited to: automated traffic, bulk messaging, or usage patterns inconsistent with normal business operations.
9. Service Availability
We strive for high availability but do not guarantee uninterrupted service. Message delivery depends on carrier networks, third-party services, and recipient device availability. We are not liable for messages or actions that fail due to factors outside our control.
10. AI-Generated Content & Compliance
Our service uses AI to generate responses, schedule appointments, send emails, and take other actions on behalf of your business. While we strive for accuracy and helpfulness, AI responses may occasionally be imperfect. You are responsible for reviewing how the AI represents your business. You control AI behavior through custom instructions in your portal.
AI Disclosure: Quallaa is designed for compliance with the Colorado AI Act and FTC guidance on AI transparency. By default, first messages to customers include an AI disclosure statement. You may customize the disclosure text in your portal. Disabling disclosure may expose you to regulatory risk. Quallaa logs disclosure compliance for every conversation as part of your audit trail.
Custom Instructions: You configure what the AI will and won't do on your behalf — including business policies, tone, escalation rules, and capabilities. You can update these at any time from your portal. Quallaa enforces your configuration automatically but does not guarantee that AI responses will always perfectly comply.
11. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the fees paid for services in the past 3 months
- We are not liable for indirect, consequential, or punitive damages
- We are not responsible for actions taken by customers based on AI-generated messages
- We are not responsible for actions the AI takes through connected services (calendar, email) that you have authorized
- Services are provided "as is" without warranty of any kind
12. Termination
Either party may terminate service:
- By You: Cancel anytime; no refunds for partial months
- By Quallaa: We may suspend or terminate for Terms violations, non-payment, or at our discretion with notice
- Data: Upon termination, we retain data per our Privacy Policy retention schedule. Connected service tokens are revoked.
13. Indemnification
You agree to indemnify and hold Quallaa harmless from claims arising from your use of the service, including violations of these Terms, applicable laws, or third-party rights.
14. Governing Law
These Terms are governed by the laws of the State of Colorado. Disputes will be resolved through binding arbitration in Denver, Colorado.
15. Changes to Terms
We may update these Terms at any time. We will notify active users of material changes via email. Continued use of our services constitutes acceptance of updated Terms.
